This Site/ Application/ Services is/are operated /provided by PRAISEARRAY (OPC) PRIVATE LIMITED ("A2Z List").
These terms and conditions ("User Terms") apply to Your visit to and use of the A2Z List platform, whether through a computer or a mobile phone, as well as to all information, listings, recommendations and services provided to You on or through the Site and the Application. This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable and the provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
By clicking on the "I AGREE" button, or by using the A2Z List application to browse, list, or express interest in any item, You are acknowledging and consenting to be bound by these User Terms. PLEASE ENSURE THAT YOU READ AND UNDERSTAND ALL THESE USER TERMS BEFORE YOU USE THE PLATFORM. If You do not wish to accept any of the User Terms, then please do not use the platform or avail any of the services being provided therein. YOUR AGREEMENT TO THESE USER TERMS SHALL OPERATE AS A BINDING AGREEMENT BETWEEN YOU AND A2Z LIST IN RESPECT OF THE USE OF THE PLATFORM.
Your acceptance of the User Terms shall be deemed to include your acceptance of the privacy policy available at https://a2zlistapp.com/privacy. By accepting these User Terms, You also allow A2Z List to send you transactional notifications and SMS alerts from time to time.
IT IS HEREBY EXPRESSLY CLARIFIED THAT THESE USER TERMS WILL NOT APPLY TO OTHER SERVICES OFFERED BY A2Z LIST ON ITS SITE, APPLICATION OR THROUGH ANY OTHER WEBSITE.
We bring buyers and sellers together. We do not own, hold, inspect, or sell any item listed on the platform.
All of the defined and capitalized terms in these User Terms will have the meaning assigned to them here below:
You will be "Eligible" to use the platform only when You fulfill all of the following conditions: (i) You have attained at least 18 (eighteen) years of age; (ii) You are competent to enter into a contract under the Applicable Laws. If You reside in a jurisdiction that restricts the use of the platform because of age, or restricts the ability to enter into contracts such as these User Terms due to age, You must abide by such age limits.
In order to use the platform, you must maintain an active personal Account with us. Account registration requires you to provide certain personal information, which may include your name, mobile phone number, email address, and location. You shall ensure that this information is accurate, complete, current, valid, true and is updated from time to time. We shall bear no liability for false, incomplete, or incorrect information provided by You.
You are responsible for maintaining the confidentiality of Your Account credentials and will be liable for all activities and transactions that occur through Your Account, whether initiated by You or any third party. Your Account cannot be transferred, assigned or sold to a third party. In the event we believe that you have furnished false or incorrect information, committed fraud or identity theft, or that the security of your Account has been compromised, we reserve the right to suspend or terminate Your Account with immediate effect and for an indefinite period.
A2Z List is a technology platform that connects buyers and sellers. The platform does not run auctions and does not accept bids. A Buyer posts a Lead with an Interest Price, and the Seller alone decides whether, and to whom, to sell. We are not a party to any transaction, not an auctioneer, not an agent of any user, and not a seller, reseller, importer, or distributor of any Item listed on the platform.
Listings, photographs, descriptions, prices, and claims about an Item are created and published by the Seller alone. A2Z List does not endorse, certify, appraise, or guarantee any Listing, and makes no representation that any Item is genuine, legally owned, free of encumbrance, or fit for any purpose.
The role and responsibility of A2Z List is merely to connect the Buyer and the Seller and nothing else. The privity of contract for the sale and purchase of any Item is between the Buyer and the Seller. A2Z List does not exercise any control over the Items listed, nor over the conduct of any Buyer or Seller, and neither monitors them.
Before posting a Lead, quoting an Interest Price, paying any amount, or completing a purchase, the Buyer is solely responsible for satisfying themselves about the Item and the Seller. Without limitation, the Buyer must:
Sellers are solely responsible for the accuracy of Item descriptions, condition reports, and photographs, and warrant that they hold clear ownership and the legal right to sell each Item listed. Misrepresentation of goods is prohibited and may result in permanent Account termination, removal of Listings, and liability to affected Buyers. Sellers must honour completed transactions and hand over or dispatch Items within the agreed timeframe.
The platform does not conduct auctions and does not accept bids. Where a Buyer is interested in an Item, the Buyer posts a Lead and may quote an Interest Price. That Lead is shared with the Seller of the Item.
AN INTEREST PRICE IS AN INDICATION ONLY. IT IS NOT AN AUCTION BID, IT DOES NOT CREATE ANY RIGHT TO PURCHASE THE ITEM, AND IT DOES NOT OBLIGE THE SELLER TO SELL AT THAT PRICE OR AT ALL.
THERE IS NO GUARANTEE THAT THE HIGHEST INTEREST PRICE WILL SUCCEED. THE DECISION OF WHETHER TO SELL, TO WHOM TO SELL, AND AT WHAT FINAL PRICE RESTS SOLELY AND ENTIRELY WITH THE SELLER. A SELLER MAY ACCEPT A LOWER INTEREST PRICE, MAY SELL TO A BUYER WHO QUOTED NO PRICE AT ALL, OR MAY DECLINE EVERY LEAD AND NOT SELL THE ITEM. A2Z List has no role in that decision and gives no assurance to any Buyer about its outcome.
A Lead should be posted in good faith, reflecting a genuine intention to proceed if the Seller chooses to deal with You. Leads may not be posted to mislead other users, to distort the interest shown on a Listing, or to test the platform.
A2Z List may display a suggested or expected price for an Item. Any such figure is indicative only. You acknowledge that A2Z List has no involvement in the determination of the final price, and the Buyer and Seller participating in that negotiation are solely responsible and liable for any dispute about the price agreed between them.
Unless expressly stated otherwise for a specific transaction, payments are settled directly between the Buyer and the Seller. A2Z List does not hold funds in escrow and does not guarantee that any payment will be honoured, refunded, or reversed. A2Z List is not responsible if a Seller charges any additional amount from You beyond the price agreed between You.
Where a platform or listing fee applies, it will be disclosed before you incur it and is non-refundable unless stated otherwise. A2Z List reserves the right to charge a fee for optional features, which shall be subject to the taxes applicable on it.
Handover, shipping, insurance, returns, and refunds are agreed between the Buyer and the Seller and are governed by the Seller's stated policy. A2Z List does not arrange, guarantee, or underwrite delivery, and is not liable for Items that are delayed, damaged, lost, or not as described.
Where a Seller offers an Item as a giveaway, the selection of the recipient is at the sole discretion of that Seller. A2Z List does not select recipients, does not guarantee that any applicant will receive an Item, and is not liable for the condition, suitability, or delivery of any Item offered as a giveaway. All representations regarding a giveaway Item are made by the Seller alone.
Any dispute arising from a Listing or transaction is between the Buyer and the Seller. You may report a Listing or user to us, and we may — at our sole discretion and without any obligation — remove content, share information as permitted by law, or suspend Accounts. Any assistance we provide is goodwill facilitation and does not make A2Z List a party to the transaction or liable for its outcome.
You agree not to:
A2Z List has no tolerance for objectionable content or abusive users. Content or behaviour that is obscene, pornographic, hateful, harassing, threatening, defamatory, violent, fraudulent, or otherwise unlawful, and any Listing for a prohibited or illegal Item, is forbidden. This applies to Listing titles and descriptions, photographs and videos, giveaways, requirements, questions and answers, and any other content you submit.
To keep the platform safe we operate the following measures:
Your use of the platform is also governed by our Privacy Policy, available at https://a2zlistapp.com/privacy, which is incorporated into these User Terms by reference. We collect, store, and process your personal data to provide and improve the platform, to enable contact between users, and to comply with legal obligations. We do not sell your personal data to third parties. You may delete your Account and the data associated with it at any time from the Profile screen in the Application, or by writing to us at the address in the CONTACT US section below.
All platform content — including logos, graphics, text, and software — is owned by or licensed to A2Z List and protected by Applicable Laws relating to intellectual property. You may not reproduce, distribute, or create derivative works without prior written permission. By submitting content, you grant A2Z List a non-exclusive, royalty-free licence to use, display, and distribute that content in connection with the platform, and you confirm you have the rights to do so.
The platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted availability. A2Z List expressly disclaims any warranty regarding the existence, ownership, genuineness, quality, safety, or legality of any Item listed, and regarding the truth or accuracy of any Listing or user statement.
All images, audio, video and text on the platform that are not part of a Listing are for illustrative purposes only. We do not authorize anyone to make a warranty on Our behalf and You shall not rely on any statement of warranty as a warranty by Us.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, A2Z LIST SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE — DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE — ARISING FROM YOUR USE OF THE PLATFORM, FROM ANY LISTING, OR FROM ANY DEALING WITH ANOTHER USER, INCLUDING LOSS OF MONEY PAID TO A SELLER, NON-DELIVERY, OR RECEIPT OF AN ITEM THAT IS COUNTERFEIT, DEFECTIVE, OR NOT AS DESCRIBED.
IN NO EVENT WILL A2Z LIST'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE USER TERMS EXCEED THE GREATER OF THE AMOUNT YOU PAID TO A2Z LIST IN THE 12 MONTHS PRECEDING THE CLAIM OR INR 500 (RUPEES FIVE HUNDRED ONLY).
If Applicable Laws do not permit the exclusion of certain warranties or the limitation or exclusion of liability, the scope and duration of such warranty exclusions and the extent of the liability of A2Z List shall be the minimum permitted under Applicable Laws.
You agree to indemnify, defend, and hold harmless A2Z List and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the platform, your Listings or transactions, your violation of these User Terms or any Applicable Laws, or your infringement of any third-party rights.
We may suspend, restrict, or terminate your access to the platform at any time, with or without notice, if we reasonably believe you have breached these User Terms or Applicable Laws, or to protect other users and the integrity of the platform. You are entitled to terminate this agreement at all times by deleting Your Account, which you can do from the Profile screen in the Application.
The invalidity of any term of these User Terms shall not affect the validity of the other provisions. If and to the extent that any provision of these User Terms is invalid, or is unacceptable in the given circumstances, a provision shall apply between the parties instead that is acceptable considering all the circumstances, taking into account the content and the purpose of these User Terms.
A2Z List reserves the right, at its sole discretion, to modify or replace, in part or full, any of these User Terms, or to change, suspend, block, discontinue or restrict the platform at any time. Material changes will be communicated by a prominent notice in the Application or by email at least 7 days before taking effect. The revised User Terms shall be made available at https://a2zlistapp.com/terms. You can determine when A2Z List last modified the User Terms by referring to the effective date at the top of this document. Continued use of the platform after changes take effect constitutes your acceptance of the revised User Terms.
You shall not assign Your rights under these User Terms without prior written approval of A2Z List. A2Z List can assign its rights under these User Terms to any affiliate.
These User Terms are subject to the laws of India. Any dispute, claim or controversy arising out of or relating to these User Terms or the breach, termination, enforcement, interpretation or validity thereof, or the use of the platform (collectively, "Disputes"), the parties shall attempt to settle amicably through negotiation and consultation. In the event the dispute is not resolved after at least 30 (thirty) days of negotiation in good faith, the same shall be subject to binding and final arbitration in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time. The reference shall be made to a sole arbitrator mutually appointed by A2Z List and You. The place of the arbitration shall be Pune, Maharashtra, unless otherwise mutually agreed in writing. Subject to the above, any Dispute will be subject to the exclusive jurisdiction of courts in Pune, Maharashtra, India.
